Terms and Conditions

The contract between Rummo and the space that subscribes to it.

In force since

1.Who provides the service

Rummo is operated by Luís Correia, a sole trader registered in Portugal, identified in the Legal notice: rummo.app/en/legal-notice.

Contact for all purposes under this contract: hello@rummo.app.

The full identification, published under article 10 of Decree-Law 7/2004 of 7 January, is on that page.

2.What Rummo is

Rummo is software as a service for running group training businesses: schedules and classes, members, plans and memberships, attendance, member communication and reporting.

The service is used in a browser, with nothing to install. There is no native app.

3.Who contracts

This contract is between Rummo and the operator of the space — the person or company running the gym, studio or box (the «Customer»).

Athletes and the Customer's other users are NOT parties to this contract. Their relationship is with the Customer, and their use of Rummo is governed by the Athlete Terms of Use.

Whoever accepts these terms warrants that they may bind the Customer.

4.Account and credentials

The account is personal and credentials may not be shared. The Customer is responsible for everything that happens in their account and in their team's accounts.

Rummo neither asks for nor stores passwords: sign-in is by a code sent by email, or with a Google account.

Any known or suspected unauthorised access must be reported immediately to the address in clause 1.

5.Trial period

Paid plans include a 14-day trial from the day the space is created.

A payment method is requested at the start of the trial. Nothing is charged during it.

At the end of the 14 days, unless the Customer has cancelled first, the subscription becomes paid and the first charge is made that day.

Cancelling during the trial costs nothing and carries no penalty. It is done as in clause 8: the space keeps working until the end of the 14 days, and nothing is charged.

6.Prices, VAT and payment

The applicable prices are those published on Rummo's pricing page at the time of subscription.

Prices are in euros. For Customers established in Portugal, Portuguese VAT is added at the legal rate, currently 23%.

For Customers established in another country, VAT follows the place-of-supply rules of the Portuguese VAT Code. A business Customer established in another EU Member State, with a valid VAT number, accounts for the tax in its own country (reverse charge).

Payment is by card or SEPA direct debit, processed by Stripe Payments Europe, Ltd. Rummo neither receives nor stores full card details.

Subscriptions are charged in advance, at the start of each period.

Failed payments are retried. If payment remains outstanding, clause 16 applies.

7.Invoicing

An invoice is issued for every charge, with the elements required by the Portuguese VAT Code, and sent to the email address given by the Customer.

The Customer is responsible for keeping their billing details current, including their tax number.

8.Term, renewal and termination

The contract runs for successive periods matching the chosen billing frequency — monthly or annual — renewing automatically at the end of each.

The Customer may cancel at any time in the application, under Configurações → Plano da Rummo → Cancelar o plano (the application is in Portuguese). There is no need to write to anyone.

Cancellation takes effect at the end of the period already paid for, and until then the service keeps working in full. Until that date, the Customer may resume the plan in the same place, with the «Retomar o plano» button, and the subscription carries on as it was.

There is no minimum term and no cancellation penalty.

Cancelling does not entitle the Customer to a refund of the current period, save as set out in clause 10.

9.Price changes

A price change is notified by email at least 30 days in advance and only takes effect from the following renewal period.

A Customer who does not accept the new price may cancel before it takes effect, at no cost.

10.Right of withdrawal

Where the Customer is a consumer, they have the right of withdrawal under Decree-Law 24/2014 of 14 February: 14 days from the conclusion of the contract, without giving a reason.

It is exercised by an unequivocal statement to the address in clause 1.

In practice the 14-day trial in clause 5 runs in parallel and is free: whoever withdraws within 14 days is never charged, and there is nothing to refund.

If the Customer expressly asks for the service to start during the withdrawal period and then withdraws, they pay an amount proportionate to what was actually supplied, under article 15 of that Decree-Law.

The great majority of Rummo's Customers contract in the course of their business and are therefore not consumers. This clause applies to those who are.

11.Refunds

Outside clause 10 and clause 12, periods already paid for are not refunded.

A charge made in error attributable to Rummo — duplicated, for the wrong amount, or after a valid cancellation — is refunded in full, by the same payment method, within 14 days of the error being acknowledged.

Refund requests go to the address in clause 1 and are answered within 14 days.

12.Conformity of the service

Rummo undertakes to supply the service in conformity with the contract under Decree-Law 84/2021 of 18 October, which transposes Directive (EU) 2019/770.

Where the service is not in conformity, the Customer is entitled to have conformity restored, to a proportionate price reduction, or to terminate the contract, in the order and on the conditions set out in that Decree-Law.

Rummo supplies the updates needed to keep the service in conformity for the duration of the contract.

13.Personal data

For the personal data of the Customer's members, the Customer is the controller and Rummo is the processor. Those terms are set out in the «Data processing» document, which forms part of this contract and meets article 28 GDPR.

For the data of those who represent the Customer — name, email, billing details — Rummo is the controller, as set out in the Privacy Policy.

14.The Customer's data belongs to the Customer

The data the Customer and their members enter into Rummo remains the Customer's. Rummo does not sell it, does not pass it to third parties for its own purposes, and does not use it for advertising.

The Customer can export their data at any time, inside the application, in a machine-readable format.

Cancelling the plan does not delete any data. At the end of the paid period, the space moves to the Lite plan, which is free, and keeps its members, classes and history.

To leave for good, the Customer deletes the space under Configurações → Propriedade → Apagar o espaço. Its members, team, classes and bookings go with it, and this cannot be undone. People's Rummo accounts remain, for other spaces.

A space with issued invoices, recorded payments or a Rummo plan still running cannot be deleted. Invoices and payments are kept for the legal period, and invoices are kept for ten years.

15.Acceptable use

The Customer undertakes not to use Rummo for unlawful purposes, not to attempt to access other spaces' data, not to deliberately overload the service, and not to decompile or resell the software.

The Customer is responsible for the lawfulness of the data they enter, including having a legal basis for processing their members' data.

16.Suspension and termination for breach

Rummo may suspend access where payment is outstanding after notice, or where clause 15 is seriously breached.

Suspension for non-payment is preceded by at least 8 days' notice by email, and deletes no data.

Either party may terminate for the other's serious breach that is not remedied within 15 days of written notice.

17.Availability

Rummo does not today offer a service level agreement with a guaranteed uptime percentage. Not promising it is better than promising what is not measured.

Planned maintenance windows are announced in advance where possible and scheduled outside peak hours.

18.Liability

Rummo is liable for damage it causes intentionally or negligently, under the general law.

Save where the law does not allow it — notably damage caused intentionally or by gross negligence, and damage to life and physical integrity — Rummo's liability to the Customer is limited to the amount the Customer paid in the 12 months preceding the event.

Rummo is not liable for loss of profit or indirect damage.

Nothing in this clause limits the rights the law gives to consumers.

19.Changes to these terms

A change to these terms is notified by email at least 30 days in advance.

A Customer who does not accept it may cancel before it takes effect, at no cost. Continuing to use the service after that date counts as acceptance.

The date of the version in force appears at the top of this page.

20.Complaints and dispute resolution

An electronic complaints book is available at https://www.livroreclamacoes.pt/inicio, under Decree-Law 156/2005 as amended by Decree-Law 74/2017.

In a consumer dispute, the consumer may use the alternative dispute resolution body: CNIACC — Centro Nacional de Informação e Arbitragem de Conflitos de Consumo, at https://www.cniacc.pt, under article 18 of Law 144/2015.

They may also use the consumer arbitration centre for the area where they live, where there is one. A consumer living in another Member State may ask the European Consumer Centre of their country for help.

21.Governing law and jurisdiction

This contract is governed by Portuguese law.

The courts of the district of Rummo's professional address have jurisdiction, to the exclusion of any other — except where the Customer is a consumer, in which case the protective rules of jurisdiction apply.

Where the Customer is a consumer habitually resident in another country, the choice of Portuguese law does not deprive them of the protection of the mandatory rules of that country's law.

22.Language

This English text is a translation provided for convenience. The contract is governed by Portuguese law and, in case of divergence, the Portuguese version prevails.
